Chemetics Inc. We are currently recruiting for a Commercial Contracts Manager. Our team includes world class experts and dynamic go-getters.  This is a full-time hybrid position based in the Vancouver, BC, office and has an in-office requirement of 2 days a week.  This position may involve international travel up to 10-20% of the time, to attend contract negotiations, and contract discussions with customers. 

Responsibilities:

  • Provides commercial, risk management, and contractual support to Legal and assistance to Business Development, Project Management, Procurement and senior leaders in Vancouver and Pickering. The support spans from the proposal stage, through to contract negotiation and project execution, as follows:
    • Proposal stage:
      • Identifies key technical risk factors in proposal based on well-defined design basis, scope, proven technology or defined approved variance in performance guarantees, etc.
      • Identifies key commercial and contractual risk factors in proposal such as payment security, customer/end-user/delivery country risks, HSE, compliance with in-country taxation, insurance, license regulations, bank guarantee/bonds.
      • Considers the contract form and structure based on scope and any prior agreement or precedence for agreement with the customer or in the scope delivery country.
    • Proposal to contract stage:
      • Provides advice and support to Chemetics’ management, Sales and Legal related to the commercial and contractual terms, and compliance/variance with Chemetics’ policies.
      • Supports Legal with preparation of comments, clarifications and recommended amendments to contract terms and conditions consistent with corporate risk policies.
      • Assists and provides guidance to compile and assemble the contract ensuring that all required elements are in place.
      • Coordinates with other relevant departments to ensure that the contract appropriately addresses tax, customs, expediting, inspection, insurance requirements, liabilities, defects, liability period, start-up/ handover, etc.
      • Prepare persuasive positions for (and sometimes lead) complex contract negotiations.   
    • Contract execution stage:
      • Assists with the interpretation of contract obligations.
      • Monitors and advises on contract change, and the preparation of contract amendments.
      • Assists Procurement in commercial negotiations, and in preparing project-specific commercial and contractual terms for sub-vendors.
      • Assists Procurement in the negotiation of vendor amendments to Chemetics’ procurement purchase terms and conditions.
      • Provides guidance for (and sometimes leads) the identification and resolution of project issues, changes, failure/delay in payment, disputes, claims, etc
  • Teach contracts management and commercial awareness skills to the Sales, Proposal, Project Management, and Procurement teams through on the job and formal training sessions

Chemetics works closely with another technology business unit within its parent company Worley, called ‘Comprimo’.  Comprimo supplies technology, engineering, and equipment for sulphur recovery systems, emissions control systems, and for the production of vinyl chain chemicals.  This role may extend in the future to include support of the Comprimo business as well.

What you will bring:

Technical and Industry Experience: 

  • Senior-level experience in contract management, preferably in an international business of industrial technology, and/or engineering and construction contracting
  • Extensive experience with contractual documents and working with legal counsel, including drafting contract revisions
  • Experience or familiarity with technical and project management
  • Ability to influence and persuade with experience of negotiations
  • Proven Knowledge of legal terminology and concepts as used in commercial contracts
  • Good verbal and written communications skills, including presentations to customers
  • Organized and self-motivated for success
  • Demonstrated prioritization skills and ability to manage multiple and changing priorities
  • Ability to provide creative business-oriented advice in a global, fast-paced environment
  • Experience in working in different cultures and environments
  • Experience with direct customer contact and negotiations – written and verbal/presentation
  • Experience working in a matrix organization with multiple stakeholders
  • Excellent interpersonal, conflict management, and influencing skills, and the ability to work with customers from diverse cultures.
  • Extensive knowledge of industrial project delivery and contracting risks.
  • Bilingual in French and English would be an asset.

 

Education – Qualifications, Accreditation, Training:

Required:

  • Degree in Legal, Business, or Engineering.

For applicants based in the province of British Columbia, the salary range is $140,000 to $190,000

pay equity, and prevailing market conditions for the specific role.
